B2B/Wholesale Terms

The B2B/wholesale terms and conditions set out below are for all goods sold by DVRH (the “Supplier”) to an approved B2B/wholesale customer (the “Customer”). These terms are in addition to the standard DVRH terms, as applicable.

Both parties understand and accept these B2B/wholesale terms and conditions stipulated under this agreement. Once a B2B/wholesale order has been accepted by the Supplier, the Customer shall be bound by these terms. No other agreements, terms, or other stipulations shall apply or be enforceable unless agreed upon in writing by both parties.

General
The Customer warrants that all the information given to Supplier is true and correct, and the signatory warrants that he/she is authorized to act on behalf of the Customer to procure Supplier’s goods.

Ordering
Each order is subject to acceptance by the Supplier and may be accepted in whole, in part, or may be declined. Orders must include a copy of your Reseller's Permit / Resale Certificate and/or Tax ID and be paid in full prior to shipment of goods.

Wholesale Pricing
All prices are listed in US dollars and subject to change without notice. The prices of the goods and other information contained in this agreement are confidential and will not be disclosed by either party unless with prior written consent of the other party.

Discounted pricing is only offered to the Customer once the minimum order value has been reached (excluding shipping and taxes) for each order of goods. The Supplier will make these minimums obvious prior to submission of the order.

Shipping, handling, insurance, and any duties/tariffs are not included in the price and will be paid by the Customer.

Payment & Delivery
Payment for goods and delivery charges must be made in advance through the online ordering process. Once the order is pulled and prepared for shipment, if actual shipping and handling charges incurred exceed the prepaid shipping estimate applied during the order checkout process, Customer agrees these additional charges may be added to the order total.

Shipments are typically dispatched within 1-2 weeks. The Supplier reserves the right to use the carrier of their choice for any shipment; specific carriers may be considered on a case-by-case basis.

The Customer is responsible for providing the correct shipping address where deliveries can be accepted. If an order is returned as undeliverable, the Customer is responsible for paying shipping fees to re-ship the package. The Supplier is not responsible for delays due to inaccurate shipping information and/or shipping company delays.

Damage & Returns
The Customer shall inspect all shipments immediately upon arrival. For damages related to shipping, the Customer shall notify Supplier and the shipping carrier within 48 hours of delivery. Damaged goods are handled on a case-by-case basis and must be confirmed with supplied photography and/or third-party inspection. Damaged goods meeting the aforementioned qualifications may be returned and replaced with the same and/or similar products. Returned goods will not be accepted if held for more than 10 business days after delivery. Barring damage in transit, all B2B/wholesale sales are final.

Drop Shipping & Consignment
We do not offer drop shipping or consignment arrangements at this time.

White Labeling
The Supplier does not offer white labeled products and does not allow resellers of Supplier’s products to remove, alter, or obscure branding. Customers found obscuring, removing, or rebranding DVRH' branding may be found to be in violation of our terms and copyrights which may result in the suspension of your wholesale account and/or legal action.

Online Retailer
We accept orders from online retailers who sell on their own e-commerce website. Online retailers MAY NOT sell our products on Amazon, eBay, Alibaba, Etsy, or similar third-party e-commerce sites. Please note, we regularly check for violations of our terms and copyright.

Customers may use Supplier’s product photos to sell the purchased goods on their business’ e-commerce website. Online retailers MUST clearly credit DVRH as the product designer and manufacturer. Failure to properly credit DVRH or misleading buyers by portraying products as being produced by the Customer/reseller will be considered a violation of DVRH' terms and copyrights and may result in suspension of your wholesale account and/or legal action.
